Introduction
This License Agreement (“Agreement”) is a legal agreement between you (“User”) and Backgrounds Supply (“Provider”) governing the use of digital assets, made available through backgrounds.supply (the “Website”).
By downloading, accessing, or using the Assets, you agree to be bound by the terms of this Agreement.
License Grant
Backgrounds Supply grants you a non-exclusive, non-transferable, non-sublicensable, worldwide license to use the Assets in accordance with this Agreement.
This license grants usage rights only. Ownership of the Assets is not transferred.
Permitted Uses
You may use the Assets for personal and commercial purposes, including but not limited to:
Websites, apps, and digital products
Marketing creatives, advertisements, and social media content
Presentations, videos, and motion graphics
Client work, freelance projects, and commissioned designs
You may modify, adapt, crop, recolor, animate, or combine the Assets with other elements and use them in any digital or physical medium.
Restrictions
You may not:
Resell, redistribute, share, sublicense, or make the Assets available as standalone files
Include the Assets in another background pack, asset library, template, or competing product
Offer the Assets for download, whether free or paid
Claim ownership or authorship of the Assets
Use the Assets in any unlawful, defamatory, or misleading manner
Use the Assets in a way that directly competes with or substitutes Backgrounds Supply
Intellectual Property
All Assets are the exclusive intellectual property of Backgrounds Supply.
This Agreement does not grant any ownership rights. All copyrights, trademarks, and intellectual property rights remain with Backgrounds Supply.
Data Sharing
We do not sell or monetize user data.
We may share limited data only with:
Third-party service providers (such as email services, analytics, and hosting) strictly to operate and improve the Website
These providers are contractually obligated to handle data securely and only for intended purposes.
Refund Policy
Due to the digital nature of the product and immediate access to the Assets upon purchase, all sales are final.
No refunds, exchanges, or cancellations are available once the Assets have been accessed or downloaded, unless required by applicable law.
Termination
This Agreement is effective upon access or use of the Assets and remains in effect unless terminated.
Backgrounds Supply may terminate this Agreement if you breach any of its terms. Upon termination, you must immediately cease using the Assets and delete all copies in your possession or control.
Disclaimer of Warranties
The Assets are provided “as is” and “as available”, without warranties of any kind, express or implied. Backgrounds Supply disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
In no event shall Backgrounds Supply be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use or inability to use the Assets, even if advised of the possibility of such damages.
General
This Agreement constitutes the entire agreement between you and Backgrounds Supply regarding the use of the Assets.
It supersedes all prior agreements or understandings related to the Assets.
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Backgrounds Supply operates.
If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
